Title Warranties definition

Title Warranties means those warranties set out in paragraph 1 (excluding for these purposes warranties 1.3(C), (D) and (E)) and paragraph 2.3 of Part 1 of Schedule 3;
Title Warranties means the Warranties set forth in paragraphs 2(c) through (e) of Schedule 3;
Title Warranties means the statements set out in Part 1 of Schedule 5, and each a “Title Warranty”;

Examples of Title Warranties in a sentence

  • For the avoidance of doubt, (i) any liability for a Warranty Claim in relation to a breach of Title Warranties shall not exceed RUB 4,000,000,000 (four billion Roubles); (ii) any liability for a Warranty Claim other than for a breach of Title Warranties shall not exceed RUB 2,000,000,000; and (iii) the aggregate liability with respect to Warranty Claims, whether Title Warranties or other, shall not exceed RUB 4,000,000,000 (four billion Roubles).

  • Such sale shall be subject to the Title Warranties and the parties shall deliver the documents and things required to be delivered pursuant to Clause 14.

  • Accordingly, the aggregate maximum liability of the Sellers in respect of a breach of the representations and warranties in this Agreement (other than the Title Warranties) and any claim under Section 8.1 shall be £8,139,535, being the £61.85 value attributed per share to the Consideration Shares issued on Closing (“CS Value”).

  • Except for the situations described in clause 9, the Buyer is not entitled to terminate (hæve) the Agreement or demand a proportionate reduction of the Purchase Price (forholdsmæssigt afslag) except that the Buyer shall be entitled to rescind the Agreement in the event of Breach of any of the Title Warranties.

  • The Warranties in paragraphs 3.1(a) and 3.1(c) are also agreed Material Title Warranties.
