Notwithstanding the foregoing, the tolling agreement set forth in this paragraph shall be inadmissible to determine liability or damages or any issue in dispute (other than the Tolling Period) under the Audit, whether before regulatory bodies, alternative dispute resolution proceedings or state or federal courts.
Respondent shall not assert, plead, or raise in any fashion, whether by answer, motion or otherwise, any defense of laches, estoppel, or waiver, or other similar equitable defense based on the running of any statute of limitations or the passage of time during the Tolling Period in any action brought on the Tolled Claims.
Developer shall not accrue or be liable to City for any Ministerial Fees or Public Benefit Amount during the Tolling Period.
Developer shall resume paying any applicable fees after the Tolling Period ends.
Consultant agrees, upon commencement of an audit by or on behalf of the Port pursuant to this Section 12 (an “Audit”), to toll for the Tolling Period (as defined below) all applicable periods of any statutes of limitations, laches or other defenses based on the Port’s failure to file an action during the Tolling Period with regard to any matter arising out of the Audit.
