Total Cash Consideration definition

Total Cash Consideration means the sum of (i) the aggregate cash consideration to be paid in exchange for Home Common Stock and (ii) the aggregate cash consideration to be paid in lieu of fractional shares of Home Common Stock pursuant to Section 2.3(f).
