Total Exposure Amount definition

Total Exposure Amount means an amount calculated each Business Day reflecting the total credit exposure of the Buyer, on an aggregate basis, consisting of the sum of: (i) the Exposure amount (however so calculated under this Confirmation Agreement and any other Fixed Price Customer Supply Contracts) calculated by the Buyer in a commercially reasonable manner; provided, that if a Fixed Price Customer Supply Contract does not include provisions for margining mark-to-market exposure, then such Fixed Price Customer Supply Contract will not be included for purposes of this calculation; and (ii) any amount required as security from the Seller pursuant to any other Fixed Price Customer Supply Contract that is not collateral posted as margin and treated as part of any Exposure amount; provided, however, that in the event the Total Exposure Amount for any day is a negative number, the Total Exposure Amount shall be deemed to be zero for such day. Any collateral or security previously posted by Seller under this Confirmation Agreement or any other Fixed Price Customer Supply Contract will be netted against the Total Exposure Amount when determining collateral requirements. Under this Confirmation Agreement, “Exposure” means the sum of: (i) 10% of the Remaining Contract Value under this Confirmation Agreement as determined by Buyer in a commercially reasonable manner and (ii) in the event that the Planning Year Total Reduction is greater than the Planning Year Total, 100% of the positive difference between the Planning Year Total Reduction and the Planning Year Total net of any payment made to Buyer in connection with the Adjusted Planning Year Total.
Total Exposure Amount means, on any date of determination, the then outstanding principal amount of all Term Loans and the then effective Revolving Loan Commitment Amount.

  • If the Seller has entered into one or more energy or swap Fixed Price Customer Supply Contracts in addition to this Confirmation Agreement, the Total Exposure Amount shall be rounded up to the nearest $100,000 and the “Minimum Transfer Amount” shall equal $100,000.

  • The Maximum Credit Limit to cover the Total Exposure Amount will be determined based on the credit matrix table in Appendix A of this Agreement.

  • The following criteria constitute the Company’s creditworthiness requirements for the DS Supplier to cover the Total Exposure Amount.

Total Exposure Amount means an amount calculated daily for each SSO Supplier reflecting the total credit exposure to Duke Energy Ohio and consisting of the sum of: (i) the Xxxx-to-Market Exposure Amount arising under this Agreement; (ii) any amount(s) designated as the “xxxx-to-market exposure amount” (or similar designation) under any Other SSO Supply Agreement; and (iii) the amount designated as the “credit exposure” (or similar designation) under any Other SSO Supply Agreement; less (iv) amounts due to such SSO Supplier pursuant to Section 6.1; provided that in the event the amount calculated for any day is a negative number, it shall be deemed to be zero for such day.
Total Exposure Amount means an amount calculated daily for the XXXX Supplier reflecting the total credit exposure to the Companies and consisting of the sum of: (i) the Xxxx-to-Market Exposure Amount arising under this Agreement; (ii) any amount(s) designated as the “xxxx-to-market exposure amount” (or similar designation) under any Other XXXX Supply Agreement; and (iii) the amount designated as the “credit exposure” (or similar designation) under any Other XXXX Supply Agreement; provided that in the event the amount calculated for any day is a negative number, it shall be deemed to be zero for such day. Total Exposure Amount Guaranty means a guaranty, in substantially similar form as set forth in Appendix D, provided by a Guarantor in favor of the Companies guaranteeing a XXXX Supplier’s financial obligation with respect to its Total Exposure Amount.
