For the avoidance of doubt, no Grantor shall be obligated to provide notice to Administrative Agent of, or otherwise include on a schedule, any Copyright License, Trademark License, Patent License or Trade Secret License.
Except as set forth on the Perfection Certificate, no Grantor nor (to the knowledge of any Grantor) any other party to any Copyright License, Patent License, Trade Secret License or Trademark License or Account constituting Collateral is in default in the performance or observance of any of the terms thereof, except for such defaults as could not reasonably be expected, in the aggregate, to have a material adverse effect on the value of the Collateral.

In the event Licensee decides to acquire such Licensor Patent Right, Licensor shall: (a) receive and enjoy, from Licensee, a license to such assigned Licensor Patent Right, such license to be subject to the terms of Schedule 3 of the Patent, Know-How, and Trade Secret License Agreement – Howmet Aerospace Inc.
If, before the Release Date the Assignor shall (i) obtain any new Patents, Trademarks, Other Intellectual Property Rights or Trade Secrets or rights thereto or (ii) become entitled to the benefit of any new Patent, Trademark, Trade Secret, License or Other Intellectual Property Rights, the Assignor shall give to the Assignee prompt written notice thereof.
