Examples of Trading Affiliates in a sentence

• Prior to the earliest to occur of (i) the termination of this Agreement, (ii) the Effective Date or (iii) the Effectiveness Deadline, such Investor shall not, and shall cause its Trading Affiliates not to, engage, directly or indirectly, in a Prohibited Transaction.

• Such Purchaser shall not, and shall cause its Trading Affiliates not to, engage, directly or indirectly, in any transactions in the Company’s securities (including, without limitation, any Short Sales involving the Company’s securities) during the period from the date hereof until the earlier of such time as (i) the transactions contemplated by this Agreement are first publicly announced as required by and described in Section 4.5 or (ii) this Agreement is terminated in full pursuant to Section 6.18.

• At no time prior to the termination of this Agreement, shall Investor or its Trading Affiliates engage, directly or indirectly, in a Prohibited Transaction.

• Such Buyer hereby covenants and agrees not to, and shall cause its Trading Affiliates not to, engage, directly or indirectly, in any transactions in the securities of the Company or involving the Company’s securities during the period from the date hereof until such time as (i) the transactions contemplated by this Agreement are first publicly announced as described in Section 4(h) hereof or (ii) this Agreement is terminated in full pursuant to Section 8 hereof.

• Such Buyer hereby covenants and agrees not to, and shall cause its Trading Affiliates not to, engage, directly or indirectly, in any transactions in the securities of the Company or involving the Company's securities during the period from the date hereof until such time as (i) the transactions contemplated by this Agreement are first publicly announced as described in Section 4(i) hereof or (ii) this Agreement is terminated in full pursuant to Section 8 hereof.

Trading Affiliates has the meaning assigned to such term in Section 4.11.

Trading Affiliates has the meaning given to such term in Section 5.10 of this Agreement.

Trading Affiliates shall have the meaning provided in Section 14.11.

Trading Affiliates means the Holder or any Affiliate thereof which (x) has knowledge of the Transactions, (y) has or shares discretion relating to such Holder's investments or trading or information concerning the Holder's investments, including in respect of the Restricted Securities, or (z) is subject to the Holder's review or input concerning such Affiliate's investments or trading.

Trading Affiliates shall have the meaning set forth in Section 3.02(e).

Trading Affiliates means any Person acting on behalf of or pursuant to any understanding with the Holder which had knowledge of the transactions contemplated hereby, (x) has or shares discretion relating to the Holder’s investments and trading or information concerning the Holder’s investments or (y) is subject to the Holder’s review or input concerning such Person’s investments or trading, (ii) the Holder Pro Rata Share for the Holder, together with its Trading Affiliates, shall be 81.2% and (y) the Leak Out Limitation of the Holder together with its Trading Affiliates shall be 28.42%.
