Tranche 2 Warrants means those certain Tranche 2 warrants issued under the Tranche 2 Warrant Agreement, dated as of the date hereof, by and between the Company and Computershare.

• The shares of Parent Class A Common Stock issued pursuant to the Merger will be duly authorized, validly issued, fully paid and nonassessable and not subject to preemptive rights, and the New Tranche 1 Warrants and New Tranche 2 Warrants when issued in accordance with the terms hereof will be duly authorized and validly issued.

Tranche 2 Warrants means the warrants to purchase the Capital Stock representing Class A common stock of Holdings, on a fully diluted basis, in accordance with the terms of such warrants, entered into on the form attached hereto as Exhibit 5.18, by and among Holdings, the Lenders, or one or more of such Lenders’ respective affiliates or designees designated thereby, to be issued pursuant to, and in accordance with, Section 5.18, or any replacement warrants thereof.

Tranche 2 Warrants means, on terms and conditions consistent with Exhibit 1 (together with such changes to the mechanics as shall be reasonably acceptable to the Company, the Ad Hoc Guaranteed Group, and the Ad Hoc Legacy Group), 7-year warrants with Black Scholes protection for 12.5% of the fully diluted Reorganized Parent Stock (subject to dilution by the Management Incentive Plan and the Tranche 3 Warrants) struck at 120% of the price that would result in payment of the Priority Guaranteed Notes in full at par plus accrued interest as of the Petition Date.

Tranche 2 Warrants has the meaning set forth in the Restructuring Term Sheet. “Tranche 3 Warrants” has the meaning set forth in the Restructuring Term Sheet. “Transfer” has the meaning set forth in Section 9(a).

Tranche 2 Warrants means 50,000 of the Warrants that become exercisable upon satisfaction of the Tranche 2 Vesting Criteria;
