Tranche C Note definition

Tranche C Note means a promissory note in substantially the form attached hereto as Exhibit B-3, as it may be amended, restated, supplemented or otherwise modified from time to time.

Tranche C Note means a promissory note made by Ultimate Holdings, as issuer, in favor of a Tranche C Lender evidencing Tranche C Loans made by such Tranche C Lender, substantially in the form of Exhibit H.

Tranche C Note means the promissory note of the Borrower payable to the order of the Lender, in substantially the form of Exhibit B-3 hereto, evidencing the Tranche C Advances.

Examples of Tranche C Note in a sentence

• Borrower shall execute and deliver to each Lender to evidence such Xxxxxx’s Term Loans: (i) on the Tranche A Closing Date, a Tranche A Note, (ii) on the Tranche B Closing Date, a Tranche B Note; (iii) on the Tranche C Closing Date, a Tranche C Note and (iv) on the Tranche D Closing Date, a Tranche D Note (each, a “Term Loan Note”).

• Notwithstanding anything else in this Tranche C Note to the contrary, the right to the principal of, and stated interest on, this Tranche C Note may be transferred only if the transfer is registered on such record of ownership and the transferee is identified as the owner of an interest in the obligation.

• Xxxxxxxx has caused this Tranche C Note to be duly executed by one of its officers thereunto duly authorized on the date hereof.

• This Tranche C Note and the obligation of Borrower to repay the unpaid principal amount of this Tranche C Note, interest thereon, and all other amounts due Lender under the Loan Agreement are secured pursuant to the Collateral Documents.

• The ownership of an interest in this Tranche C Note shall be registered on a record of ownership maintained by Xxxxxxxx.

More Definitions of Tranche C Note

Tranche C Note means the amended and restated promissory note provided for Lender’s Tranche C Advance and any promissory note delivered in substitution or exchange therefor, in each case as the same shall be modified, supplemented, amended or restated and in effect from time to time in accordance with the terms of this Agreement.

Tranche C Note shall have the meaning given such term in Paragraph 7(c) above.

Tranche C Note collectively with the Tranche A Note and the Tranche B Note, the “Original Note”);

Tranche C Note means any Tranche C Note executed and delivered pursuant to Section 2.1C hereof.

Tranche C Note means any one of such promissory notes issued hereunder.
