Transaction Bonus definition

Transaction Bonus shall have the meaning set forth in Section 4(d) hereof.
Transaction Bonus means the aggregate of the Closing Date Bonus and the Contingency Bonus, if any.

Transaction Bonus means, to the extent unpaid as of immediately prior to the Closing, any sale, change of control or similar bonus payable pursuant to any obligation created by Seller or an Acquired Company prior to the Closing due to any Person, in each case, as a result of the consummation of the transactions contemplated hereby.
Transaction Bonus means each of the bonuses the gross amounts of which are listed in Annex 1 document 84 of the documents forming part of the Seller Disclosure Schedules and which amounts, for the avoidance of doubt, include any income tax and primary national insurance contributions (or equivalent social security contributions in a jurisdiction other than the UK) for which the relevant member of the Target Group may be required to account in respect of the payment of such bonuses.
