Transfer Offer definition

Transfer Offer means the offer to sell the Transfer Securities owned -------------- by the Transferring Securityholder to XXXX or one or more of its assignees in accordance with Section 2.2(a).

• For the avoidance of doubt, in the event of a Transfer Offer involving more than one class or series of Offered Stock, the Offering Stockholder may deliver a single ROFR Notice to the Company and each Applicable ROFR Rightholder.

• If an Offeree Member fails to deliver its/his acceptance notice within the prescribed time, such Offeree Member shall be deemed to have rejected the Transfer Offer.
