On delivery of the Ordinary Share Scheme Consideration by SBG to the Ordinary Share Scheme Participants (or the Transfer Secretaries acting for and on behalf of the Ordinary Share Scheme Participants), being the issue of the SBG Consideration Shares comprising the Ordinary Share Scheme Share Consideration and payment of the Ordinary Share Scheme Cash Consideration, SBG shall: be entitled to all the benefits and subject to all risks attaching to the Ordinary Share Scheme Shares.
