Transferor Certificate definition

Transferor Certificate. As defined in Section 5.02(b).
Transferor Certificate has the meaning assigned in Section 2.04(a) of the Indenture.
Transferor Certificate means the certificate representing the interest in the Trust that is the right to receive any amounts available for distribution that are not allocable to the Notes and that is executed and authenticated in accordance with this Agreement substantially in the form attached to this Agreement as Exhibit B.

Examples of Transferor Certificate in a sentence

  • The portion of the servicing fee which will be allocable to the Holder of this Transferor Certificate pursuant to the Asset Pool One Supplement will be payable by the Holder of this Transferor Certificate and none of the Trust, the Owner Trustee, the Indenture Trustee, the Collateral Agent or the Noteholders will have any obligation to pay such portion of the servicing fee.

  • This Transferor Certificate is limited in right of payment to certain Collections respecting the Receivables and the Collateral Certificates, all as more specifically set forth hereinabove and in the Asset Pool One Supplement.

  • Notwithstanding the first sentence of this paragraph, the Servicer need not deposit this amount or any other amounts so allocated to this Transferor Certificate pursuant to the Asset Pool One Supplement into the Collection Account and shall pay, or be deemed to pay, such amounts as collected to the Holder of this Transferor Certificate.

  • The aggregate interest represented by this Transferor Certificate at any time in the Collateral of the Trust shall not exceed the Asset Pool One Transferor Amount at such time.

  • This Transferor Certificate is the Transferor Certificate (the “Transferor Certificate”), which represents an undivided interest in the Trust, including the right to receive the Collections and other amounts at the times and in the amounts specified in the Asset Pool One Supplement and each Indenture Supplement to be paid to the Holder of the Transferor Certificate.


More Definitions of Transferor Certificate

Transferor Certificate means the letter substantially in the form of Exhibit D and delivered pursuant to Section 2.14(a).
Transferor Certificate shall have the meaning specified in the Trust Agreement.
