Examples of Transition Services Period in a sentence
During the Transition Services Period (defined in Section 8.1), NewCo hereby grants to MCK a worldwide, nonexclusive, royalty-free, fully paid-up, non-transferable, non-sublicensable (except to MCK’s Affiliates and MCK’s and its Affiliates’ subcontractors performing hereunder on MCK’s behalf) license under its Intellectual Property Rights to the extent reasonably necessary to perform the Services for NewCo hereunder.
During the Transition Services Period (defined in Section 8.1), MCK hereby grants to NewCo a worldwide, nonexclusive, royalty-free, fully paid-up, non-transferable, non-sublicensable (except to NewCo’s Affiliates and NewCo’s and its Affiliates’ subcontractors performing hereunder on NewCo’s behalf) license under its Intellectual Property Rights to the extent reasonably necessary to perform the Services for MCK hereunder.
In the event the Service Provider delivers the Service Provider Termination Notice to the Receiving Party, the TSA with respect to Services being provided to the Receiving Party shall terminate on the last day of that calendar month which is thirty six (36) months after the date of delivery of the Service Provider Termination Notice (subject to the applicable Wind Down Period and Transition Services Period).
If the Service Provider has delivered the Service Provider Termination Notice, then any exercise by the Receiving Party of a Annual Extension Term within which the 36th month falls must recognize in said exercise notice that the TSA will terminate with respect to the Services provided to the Receiving Party as of the last day of the 36th month (subject to the applicable Wind Down Period and Transition Services Period).
The parties shall mutually determine prior to the commencement of each calendar month during the Transition Services Period whether the fees for such month shall be as set out in (i) or (ii) above, and the Receiving Party shall then pay such fees accordingly.
