Treasury Shares definition

Treasury Shares means Shares that were previously issued but were purchased, redeemed, surrendered or otherwise acquired by the Company and not cancelled.
Treasury Shares means any share that was acquired and held by the Company, or as treated as having been acquired and held by the Company, which has been held continuously by the Company since it was acquired and which has not been cancelled; and
Treasury Shares means shares of a company that were previously issued but were repurchased, redeemed or otherwise acquired by the company and not cancelled.

Examples of Treasury Shares in a sentence

  • Notwithstanding Section 2.6(c) above or any other provision of this Agreement to the contrary, if there are any SPAC Ordinary Shares that are owned by SPAC as treasury shares or any SPAC Ordinary Shares owned by any direct or indirect Subsidiary of SPAC immediately prior to the Effective Time (the “SPAC Treasury Shares”), such SPAC Treasury Shares shall automatically be cancelled and shall cease to exist at the Effective Time without any conversion thereof or payment or other consideration therefor.

  • The Company shall issue the necessary Warrant Shares out of the Company’s Treasury Shares and/or the conditional share capital for shareholders’ options or the capital band at its own discretion.

  • The Company shall inform the Holder within due time after having received the Notice of Exercise if the respective Warrant Shares are to be issued from the Treasury Shares and/or the conditional capital for shareholders’ options or the capital band.

  • For the avoidance of doubt, the Holder shall be entitled to the benefits of the provisions of this Section 3(e) regardless of (i) whether the Company has sufficient Treasury Shares and/or conditional capital for shareholders’ options for such number of Common Shares for the issuance of Warrant Shares and/or (ii) whether a Fundamental Transaction occurs prior to the Initial Exercise Date.

  • The Company covenants that, during the period the Warrant is outstanding, it will reserve from its Treasury Shares and/or conditional capital for shareholders’ options and/or capital band a sufficient number of shares to provide for the issuance of the Warrant Shares upon the exercise of any purchase rights under this Warrant.

Treasury Shares means qualifying shares (within the meaning of section 724(2) of the 2006 Act) held by the Company under section 724(3)(a) of the 2006 Act;
Treasury Shares means Shares held in treasury pursuant to the Companies Act and these Articles;
