Trigger Condition definition

Trigger Condition means [Trigger Condition (European)] [Trigger Condition (American)].
Trigger Condition shall have the meaning given to it in the Senior Credit Agreement.
Trigger Condition with respect to Section 10.3 (Financial Covenants), either (x) the occurrence or continuance of an Event of Default or (y) Availability is less than $10,000,000 on any day.

More Definitions of Trigger Condition

Trigger Condition with respect to Section 10.3 (Financial Covenants), either (x) the occurrence or continuance of an Event of Default or (y) the Average Availability for any calendar quarter is less than the greater of 15% of the aggregate Revolver Commitments as then in effect and $7,500,000. Trigger Period: with respect to Section 10.3 (Financial Covenants), (a) prior to the Full Payment of the Tranche B Term Loans, any period during which any Obligation with respect to the Tranche B Term Loans is or was outstanding or (b) the period commencing on and including the last day of the Fiscal Quarter then most recently ended prior to occurrence of a Trigger Condition with respect to which the financial statements and corresponding Compliance Certificate shall have been delivered to Agent pursuant to Section 10.1.2 (a) or (b) (Financial and Other Information), as applicable, and Section 10.1.2(c) (Financial and Other Information), and ending on and including the last day of the next Fiscal Quarter during which no Trigger Condition existed or occurred; it being acknowledged that a Trigger Period shall cover, at a minimum, a three Fiscal Quarter period.
Trigger Condition means the criteria and conditions entered by the Client, which if met, the corresponding limit order entered by the Client will be placed on the respective Exchange. The below set of conditions, not being limited to, are required to be selected by the Client:
Trigger Condition means (i) any lawful direction, claim or action of any Relevant Authority relating to any Compliance Liability and/or any Environmental Condition (including in respect of any Remediation); or (ii) any claim made by a third party in respect of any Compliance Liability and/or any Environmental Condition; or (iii) in respect of any Compliance Liability and/or Environmental Condition, any Remediation that, if not carried out, would prevent the continued use or occupation of the relevant Property as it was at Completion, in compliance with Environmental Law and Environmental Permits;
Trigger Condition means either (i) any Event of Default has occurred and continuing thereafter until waived in writing by Lender or cured with Lender’s written consent; or (ii) Excess Availability is less than twenty percent (20%) of Working Capital Obligations then outstanding, and continuing thereafter until Excess Availability equals or exceeds twenty percent (20%) of Working Capital Obligations for at least sixty (60) days consecutively, as determined by Lender.
Trigger Condition shall have the meaning set forth in Section 1.75 of the Business Disclosure Letter.
Trigger Condition means: (a) an Environmental Requirement issued by any Environmental Authority under Environmental Law against the Purchaser in relation to any Soil or Groundwater Contamination; or (b) an Environmental Requirement obtained by or for a Third Party under Environmental Law against the Purchaser in relation to any Soil or Groundwater Contamination.
