Borrower shall not cause or permit the TRS Lessee to own any properties or assets other than personal property and lease/contract rights (including under the TRS Lease and the License Agreements) associated with the operation of the Project and that are encumbered by the Amended and Restated Deed of Trust.
Lender further consents to (A) the execution and delivery of the TRS Lease (provided that such lease shall at all times be subject and subordinate to the liens and encumbrances securing the Obligations) and (B) the execution and delivery of the Management Agreement (subject to the terms and conditions of the Management Agreement Assignment).
