Trust Preferred shall have the meaning provided in Section 8.19 of this Agreement.

Trust Preferred means the 12,000,000 shares of the 7.80% Trust Originated Preferred Securities issued by a trust that is a wholly owned Subsidiary on May 26, 1999.

This Trust Preferred Securities Guarantee creates a guarantee of payment and not of collection.
This Guarantee Agreement is solely for the benefit of the Holders and is not separately transferable from the Trust Preferred Securities.
