A default shall occur under the UK Debenture and such default is not cured within any applicable grace period provided therein.
All terms and provisions of the UK Debenture shall remain unchanged and in full force and effect and Marin Ltd hereby reaffirms its obligations under the UK Debenture.
The Borrower shall undertake commercially reasonable efforts to execute and deliver the UK Debenture as promptly as practicable after the Closing Date.

Without limiting the foregoing, except as otherwise provided in Section 4.1, the grant of a security interest by Borrower in Section 4.1 and the charges granted under the ISR Debentures and the UK Debenture shall survive until the termination of this Agreement, the ISR Debentures and the UK Debenture and all Bank Services Agreements.
