UK Security Documents definition

UK Security Documents means the UK Pledge Agreements and the UK Debenture.
UK Security Documents means the Security Documents governed by the laws of the United Kingdom, including England and Wales and Scotland.
UK Security Documents means the UK Composite Guarantee and Debenture and any Mortgage executed by a UK Subsidiary.

  • Each Lender authorizes and directs JPMCB and/or its designated affiliate to act as Collateral Agent under the Collateral Security Agreement and or UK Security Trustee under the UK Security Documents and to enter into the Loan Documents relating to the Collateral (including, without limitation, the Collateral Security Agreement) for the benefit of the Lenders and the other Secured Parties.

  • Any obligations of the Administrative Agent or the Collateral Agent (or any other Person acting in such capacity) in this Agreement shall be obligations of the Administrative Agent or the Collateral Agent in its capacity as UK Security Trustee to the extent that the obligations relate to the UK Security Documents or the security thereby created.

  • The Administrative Agent shall not be responsible for the negligence or misconduct of any agents, sub-agents, delegates, co-security trustees (in the case of the UK Security Documents, the Irish Security Documents or the Northern Irish Security Documents) or attorneys-in-fact selected by it with reasonable care except to the extent otherwise required by Section 9.03.

  • Section 1 of the Trustee Act 2000 shall not apply to the duties of the Administrative Agent in relation to the trusts constituted by this Agreement in respect of the UK Security Documents.

  • The Administrative Agent may execute any of its duties under this Agreement or any other Loan Document by or through agents, sub-agents, delegates, co-security trustees (in the case of the UK Security Documents, the Irish Security Documents or the Northern Irish Security Documents) or attorneys-in-fact, and shall be entitled to advice of counsel concerning all matters pertaining to such duties.


More Definitions of UK Security Documents

UK Security Documents means, collectively, the UK Debenture and the UK Share Charge.
UK Security Documents means the documents referred to as such in Schedule 1.01(3) and any other Security Document governed by English law to be entered into by a Loan Party pursuant to or in connection with this Agreement.
UK Security Documents means the UK Debenture, the UK Share Charge and each other Note Security Document governed by the law of England & Wales.
UK Security Documents means any Other Pledge Agreements from time to time executed by any Credit Party governed by the laws of England and Wales.
UK Security Documents means the U.K. Security Agreements, each Additional Security Document governed by the laws of England and Wales or (as applicable) the laws of Scotland and any document governed by English law or (as applicable) Scots law pursuant to which any Lien is granted or perfected by any Credit Party to the Administrative Agent as administrative agent and security trustee for the U.K. Secured Parties as security for any of the Obligations.
UK Security Documents means each of the following to be entered into in accordance with the terms hereof: (a) the English law governed security agreement in relation to substantially all of the assets of the Airspan Communications Limited (other than Equity Interests and assets relating to the Dense Air Group), (b) the English law governed share charge over shares in Airspan Communications Limited by Airspan, (c) the Security Trust Deed and (d) any other English law governed Collateral Documents entered into from time to time.
UK Security Documents means each of the agreements, guaranties and/or other instruments listed on Schedule 1.01(b) hereto and each other security agreement, guaranty or other instrument or document executed and delivered by any UK Loan Party pursuant to Section 5.11, 5.12 or 5.16 to secure the Secured Obligations and the UK Mortgages (if any).
