ULC Shares definition

ULC Shares means shares or other equity interests in the capital stock of a ULC.
ULC Shares means shares in any unlimited company at any time owned or otherwise held by the Obligor.
ULC Shares means shares in any ULC at any time owned or otherwise held by any Pledgor.

  • Accordingly, the Pledgor of ULC Shares shall be entitled to receive and retain for its own account any dividend on or other distribution, if any, in respect of such ULC Shares (except insofar as the dividend or other distribution may become subject to a security interest pursuant hereto) and shall have the right to vote such ULC Shares and to control the direction, management and policies of the ULC to the same extent as the Pledgor would if such ULC Shares were not pledged pursuant hereto.

  • To the extent any provision hereof would have the effect of constituting the Collateral Agent or any Secured Party as a member or a shareholder of any ULC prior to such time, such provision shall be severed herefrom and shall be ineffective with respect to ULC Shares which are Pledged Collateral without otherwise invalidating or rendering unenforceable this Agreement or invalidating or rendering unenforceable such provision insofar as it relates to Pledged Collateral which are not ULC Shares.

  • Accordingly, such Pledgor shall be entitled to receive and retain for its own account any dividend on or other distribution, if any, in respect of ULC Shares that are Collateral and shall have the right to vote such ULC Shares and to control the direction, management and policies of any ULC to the same extent as such Pledgor would if such ULC Shares were not pledged to the Pledgee for the benefit of the Secured Parties pursuant hereto.

  • The Canadian Co-Issuer acknowledges that certain of the Indenture Collateral of the Canadian Co-Issuer may in the future consist of ULC Shares, and that neither the Trustee nor any other Secured Party shall under any circumstances prior to realization thereon be a “member” or a “shareholder”, as applicable, of a ULC for the purposes of any ULC Laws.

  • Such Grantor will permit any registerable Pledged Collateral owned by it (other than Pledged Collateral comprised of ULC Shares) to be registered in the name of the Collateral Agent or its nominee at any time an Event of Default has occurred and is continuing at the option of the Collateral Agent.

ULC Shares means shares in any ULC at any time owned or otherwise held by a Loan Party.
ULC Shares means shares or other equity interests issued by an unlimited company or an unlimited liability company or unlimited liability corporation incorporated or otherwise governed by the laws of any of the provinces of Canada (each, a “ULC”) (other than any shares or other equity interests issued by Open Text ULC, an unlimited liability company governed by the laws of Nova Scotia, or any successor thereof which is a ULC).
ULC Shares means the common shares in the capital of the ULC.
ULC Shares means those Equity Interests consisting of shares in the capital stock of or other membership or equity interests issued by an issuer that is an unlimited company.
ULC Shares means the common shares in the capital of ULC; and
ULC Shares means shares or other equity interests in the capital stock of a ULC. “Uniban Brands” includes, as the context requires, the Docteur du Pare-Brise Brand, the Go Glass Brand, the Star Auto Glass Brand, the Uniglass Brand, the VitroPlus Brand and certain other Trademarks, whether alone or in combination with other words or symbols, and any variations or derivatives of such Trademarks constituting Closing Date Securitization IP or After-Acquired Securitization IP of the Canadian Co-Issuer (but excluding any other Driven Securitization Brand), and, in each case of such Driven Securitization Brand or such other Trademarks, relating to or embodied in the sale of glass under such Driven Securitization Brand or other Trademark.
ULC Shares shall have the meanings set forth in Section 34 hereof.
