Unauthorized Activity definition

Unauthorized Activity means any money laundering, arbitrage, scalping or pip-hunting activities, or any other activity involving the purchase of currency on one market for the immediate resale on another market in order to profit from a price discrepancy or price error.
Unauthorized Activity means an act or practice in this state by a person without a charter, license, permit, registration, or other authority issued or granted by the banking commissioner or other appropriate regulatory authority for which such a charter, license, permit, registration, or other authority is required.
Unauthorized Activity means any act, including but not limited to money laundering, arbitrage, or trading on off market quotes etc. In such events and where we reasonably believe that any transaction involves an unauthorized and/ or abusive activity, the Company will have and retain the right to:

  • Contractor shall implement and maintain reasonable security procedures and practices that are designed to help protect PII from Unauthorized Activity.

  • Any actual or suspected Unauthorized Access and/or Unauthorized Activity will be treated by Zero Hash as potentially fraudulent (“Potentially Fraudulent Activity”).


More Definitions of Unauthorized Activity

Unauthorized Activity means: (a) any act or omission in relation to the Services that is in breach of any Applicable Law; (b) any activity identified as an unauthorized activity or prohibited in the Special Conditions.
Unauthorized Activity means any act, including but not limited to money laundering, arbitrage, or trading on off market quotes or any other activity involving the purchase of the Financial Products on one market for the immediate resale on another market in order to profit from a price discrepancy or price error. We retain the right to cancel or reserve any transaction and / or to terminate our relationship with you, with immediate effect, where we reasonably believe that such transaction involves an Unauthorized Activity.
Unauthorized Activity means the illegal or otherwise unauthorized disclosure, release, acquisition, access, alteration, use, disruption, or destruction to or of District Data, or a system configuration that results in a documented unsecured disclosure, access, alteration, or use that poses a significant risk of financial, reputational or other harm to the affected End User or the District.
Unauthorized Activity means any act, including but not limited to money laundering, arbitrage, or trading on off market quotes or any other activity involving the purchase of the Financial Products on one market for the immediate resale on another market in order to profit from a price discrepancy or price error.
Unauthorized Activity means Executive has engaged, without the written consent of the Company’s then-current principal executive officer, in any (a) actual or potential transaction involving the acquisition or disposition, on a consolidated basis, of 5% or more of the Company’s assets, debt, or equity interests; (b) matter involving or related to any actual or potential change in the composition of the Company’s Board of Directors; or (c) any actual or potential merger, combination, spin-off, split-off, extraordinary dividend, share exchange or other similar corporate transaction involving the Company or any of its subsidiaries or Affiliates, it being understood and agreed that Executive’s voting his shares of stock in the Company or his managing and investing his assets and the assets of his immediate family in the ordinary course will not be considered to be an Unauthorized Activity. A request by Executive for consent to such activities shall be answered within thirty (30) days following receipt by the then-current principal executive officer. Executive agrees that the Board of Directors of the Company will make all determinations arising under this Paragraph 9 (including the number and identity of Incremental Awards, whether Executive has engaged in an Unauthorized Activity and the amount, if any, Executive is required to return to the Company) and any such determination shall be final, binding and conclusive on Executive (and any person claiming through or on behalf of Executive) absent manifest error or bad faith. ATTACHMENT C EXECUTIVE’S AGREEMENT TO ESP XXXXX EXECUTIVE SEVERANCE PLAN AGREEMENT THIS EXECUTIVE SEVERANCE PLAN AGREEMENT is made as of April 1, 2013 by and between the Plan Administrator of the Xxxxx Executive Severance Plan (the “ESP”) on behalf of Xxxxx Healthsystem Medical Inc. Unauthorized Activity means (a) with respect to any First Closing Acutus Licensed IP or Second Closing Acutus Licensed IP, any actual, potential, suspected, or threatened infringement, misappropriation or other violation by a Third Party of any such First Closing Acutus Licensed IP or Second Closing Acutus Licensed IP, as applicable and (b) with respect to any First Closing Transferred Intellectual Property or Second Closing Transferred Intellectual Property, any actual, potential, suspected, or threatened infringement, misappropriation or other violation by a Third Party of any such First Closing Transferred Intellectual Property or Second Closing Transferred Intellectual Property, as applicable.
Unauthorized Activity means any act, including but not limited to money laundering, arbitrage, or trading on otf-market quotes or any other activity involving the purchase of the Financial Products on one market for the immediate resale on another market in order to profit from a price discrepancy or price error. In such events and where we reasonably believe that any transaction involves an unauthorized and/ or abusive activity, the Company will have and retain the right to: ● adjust the otfered payouts available to such Clients; ● and/or restrict Clients’ access to streaming, instantly tradable quotes, including providing manual quotation only; ● and/or obtain from Clients’ accounts any historic trading profits that they have gained through such abuse of liquidity as determined by the Company at any time during our trading relationship; ● and/or reject an order or to cancel a trade; ● and/or cancel or reserve any transaction ● and/or terminate our trading relationship with immediate etfect. The Company has and will continue to develop any tools necessary to identify fraudulent and/ or unlawful access and use of our Online Trading Facility.
