Sales Commissions with respect to Shares actually sold by you or your registered representatives and Underwriting Fees with respect to all Shares sold (by you or by any Selling Dealers) will be due and payable to you within 30 days of each Closing Date on which purchasers of such Shares are admitted as Members.
Notwithstanding the provisions of this Section 8, the Selling Agent shall not be required to contribute any amount in excess of the Underwriting Fees received by the Selling Agent in connection with the aggregate Units sold.

Underwriting Fees with respect to Units actually sold by the Selling Agent or its registered representatives with respect to all Units sold by it will be due and payable to it within 30 days of each closing date on which purchasers of such Units are admitted as Limited Partners.
