Underwritten Offering definition

Underwritten Offering means a Registration in which securities of the Company are sold to an Underwriter in a firm commitment underwriting for distribution to the public.
Underwritten Offering means a sale of securities of the Company to an underwriter or underwriters for reoffering to the public.
Underwritten Offering means an offering in which Registrable Securities are sold to an Underwriter for reoffering to the public.

  • In addition, the Company may delay or suspend continued use of a Registration Statement or Prospectus in respect of a Registration or Underwritten Offering in order to file and make effective a post-effective amendment to such Registration Statement in connection with the filing of the Company’s Annual Report on Form 10-K.
