Unilateral Product definition

Unilateral Product has the meaning set forth in Section 5.10. For clarity, a Unilateral Product must be within the definition of Licensed Product.

  • As of the Opt-Out Date following an Opt-Out Notice from Genmab and subject to the terms of this Agreement, Genmab shall grant to SGI an exclusive (even as to Genmab), royalty-bearing license under the Genmab Patents and Genmab Know-How, with the right to sublicense as permitted in Section 2.5, to develop, have developed, make, have made, import, use, offer for sale, have sold and sell SGI Products (i.e., a Unilateral Product for which SGI is the Continuing Party) within the Field in the Territory.

More Definitions of Unilateral Product

Unilateral Product means a therapeutic or prophylactic product that is being Commercialized by a Party pursuant to Section 7.8, and that (a) contains as an active ingredient (i) a Small Molecule, Antibody, Antisense Molecule, Protein or Other Molecule that is first identified, evaluated or optimized by a Party through the use of a Unilateral Target, (ii) a Small Molecule, Antibody, Antisense Molecule, Protein or Other Molecule that is first identified, evaluated or optimized in the Research Program through the use of a Program Target prior to such target's designation as a Unilateral Target and is included in such target's Associated Chemistry or Associated Biotherapeutics, or (iii) a Unilateral DDC and (b) has been approved for marketing and sale in a country by a Regulatory Authority. "Xxxxxx Unilateral Product" means a Unilateral Product that is being Commercialized by Xxxxxx pursuant to Section 7.8, and "Millennium Unilateral Product" means a Unilateral Product that is being Commercialized by Millennium pursuant to Section 7.8.
