Unpaid Preferred Return definition

Unpaid Preferred Return with respect to each holder of Preferred Units means the excess, if any, of (i) such Unitholder's Preferred Return as of the date of any such determination over (ii) the aggregate amount of all distributions made to such Unitholder pursuant to or in accordance with Section 4.4(a)(ii).

Unpaid Preferred Return means, with respect to each Limited Partner, as of any date of determination, the excess of the Preferred Return as of such date over the amount of all distributions made on or prior to such day to such Limited Partner pursuant to Section 5.1(A).

Unpaid Preferred Return with respect to the Preferred Member, means the then accrued Preferred Return of the Preferred Member reduced by the aggregate distributions made to the Preferred Member pursuant to Sections 4.02(a) and 4.03(a).

Examples of Unpaid Preferred Return in a sentence

• For the avoidance of doubt, the Preferred Unitholders acknowledge and agree that, effective as of the effectiveness of this Agreement, the Unpaid Preferred Return (as defined in the Prior Agreement) is $0.

• Notwithstanding anything to the contrary set forth above, if any Preferred Unitholder shall exercise the Redemption Right with respect to any Preferred Units, the Partnership shall be obligated to pay to such Preferred Unitholder, together with the Cash Amount, the Unpaid Preferred Return attributable to the Preferred Units being redeemed as of the date such payment is made.

• Notwithstanding anything to the contrary set forth in this Section 4.1(b)(1), the Managing Member may, in its sole and absolute discretion, at anytime, defer the catch-up distribution to which it is entitled under Section 4.1(b)(1)(ii), and take all or a portion of such catch-up distribution from distributions of Cash Flow from Operations or from Cash Flow from Sales at any time after the Members no longer have any Unpaid Preferred Return.

• Notwithstanding Section 4.4(a), if the amount described in Section 4.4(a)(i) or Section 4.4(a)(ii)(1) has not been distributed pursuant to Section 4.4(a)(i) or Section 4.4(a)(ii)(1), respectively, due to the proviso set forth therein, the Company shall make a guaranteed payment to the Preferred Unitholders, out of the Distributable Assets, in an amount equal to the Current Preferred Return or Unpaid Preferred Return, respectively, before any subsequent distributions are made pursuant to Section 4.4(a).

• Distributions to a Member under Section 10.5(a) first shall constitute return of capital Distributions to the extent that these Distributions reduce the Member’s Adjusted Capital Contribution to an amount not less than zero, and thereafter Distributions under Section 10.5(a) shall constitute Distributions of Unpaid Preferred Return to the extent that these Distributions reduce the Member’s Unpaid Preferred Return to an amount not less than zero.

More Definitions of Unpaid Preferred Return

Unpaid Preferred Return means, (i) with respect to Paladin and as of any specified date, the Preferred Return accrued through such date, decreased by the amount of money and the agreed upon net fair market value of any property distributed by the Company to Paladin pursuant to Sections 5.01(a) and 5.02(a) and (ii) with respect to each of the Xxxxxxx Members and as of any specified date, the Preferred Return accrued through such date, decreased by the amount of money and the agreed upon net fair market value of any property distributed by the Company to such Xxxxxxx Member pursuant to Sections 5.01(c) and 5.02(e).

Unpaid Preferred Return means, with respect to a Member, an amount, determined as of the date of any distribution pursuant to Section 5.2, equal to the excess of (i) the amount necessary to give the Member a 12% compounded annual return with respect to his or its Unreturned Preferred Capital over (ii) amounts previously distributed to such Member pursuant to Section 5.2(a)(i).

Unpaid Preferred Return of a Member means the excess of (i) the Preferred Return of the Member accrued to date over (ii) the sum of all Distributions to the Member under Section 6.10(a) and the Distributions to the Member under Section 10.5(a) that shall constitute return of capital Distributions. Distributions to a Member under Section 10.5(a) first shall constitute return of capital Distributions to the extent that these Distributions reduce the Member’s Adjusted Capital Contribution to an amount not less than zero, and thereafter Distributions under Section 10.5(a) shall constitute Distributions of Unpaid Preferred Return to the extent that these Distributions reduce the Member’s Unpaid Preferred Return to an amount not less than zero.

Unpaid Preferred Return of a Member holding Convertible Preferred Units, as of a particular date, means (i) the Accrued Preferred Return on such Member’s Convertible Preferred Units through such date, reduced by (ii) aggregate distributions made to such Member pursuant to Section 4.3.1(a) prior to such date.

Unpaid Preferred Return means, with respect to any Member, as of any date, the aggregate amount of Preferred Return earned by such Member, less the amounts that have been distributed to such Member pursuant to Section 9.1(a)(i) and less any reductions in such Member's Unpaid Preferred Return pursuant to Section7.3(d).
