After the Unreturned Capital Contributions and Unpaid Priority Return of a Priority Member have been reduced to zero, the Class B Units held by such Priority Member shall be forfeited to the Company and such Priority Member shall have no further interest in the Company, including, without limitation, voting rights and rights to distributions and allocations of Profit and Loss.
In addition, after the General Partner Unpaid Priority Return has been paid and the General Partner Net Current Investment has been reduced to zero, all Capital Proceeds from sales of Partnership assets shall be applied first to pay amounts outstanding under the Termination Note.
All such distributions shall be made pro rata in relation to each such Series A Preferred Share’s Unpaid Priority Return.

For purposes of calculating the Unpaid Priority Return for a Class A Unit, the amount distributed to the General Partner pursuant to Sections 7.2(a)(i)(A)(1) and (c)(i)(A) on behalf of such Unit shall be included in the amounts distributed with respect to such Class A Unit.
