Unpaid Priority Return definition

Unpaid Priority Return means with respect to each Limited Partner the excess of its Priority Return over the aggregate amount distributed to it pursuant to Section 4.2(a)(ii).
Unpaid Priority Return means, with respect to each Class A Unit, the cumulative Priority Return with respect to such Unit less all distributions made under Article V of the LLC Agreement (other than in respect of unreturned Capital Contributions).
Unpaid Priority Return means, with respect to each Priority Member, the aggregate Priority Return of such Priority Member, minus the cumulative distributions paid to such Priority Member pursuant to Section 9.1(a) of this Agreement (including by operation of Section 13.2(c)).

  • After the Unreturned Capital Contributions and Unpaid Priority Return of a Priority Member have been reduced to zero, the Class B Units held by such Priority Member shall be forfeited to the Company and such Priority Member shall have no further interest in the Company, including, without limitation, voting rights and rights to distributions and allocations of Profit and Loss.

  • For purposes of calculating the Unpaid Priority Return for a Class A Unit, the amount distributed to the General Partner pursuant to Sections 7.2(a)(i)(A)(1) and (c)(i)(A) on behalf of such Unit shall be included in the amounts distributed with respect to such Class A Unit.

More Definitions of Unpaid Priority Return

Unpaid Priority Return means, with respect to a Member for a Fiscal Year, the excess, if any, of (i) the sum of such Member's Priority Return for the current Fiscal Year and all prior Fiscal Years; over (ii) the aggregate amount distributed to such Member under Section 6.1(a)(iii) for the current Fiscal Year and all prior Fiscal Years.
Unpaid Priority Return means, at any given time, the excess, if any, of the aggregate Priority Return over all amounts previously paid with respect to the Priority Return.
