Unrelated Third Party means a person, corporation, partnership, trust or other entity who is not a Parcel Owner or its successors or assigns and is not an Affiliate under this Agreement. “Affiliate” means: (i) any officer, director, employee or blood related family member of a Party; and (ii) any corporation, partnership, trust or other entity controlling, controlled by or under common control with a Party or any person described in (i) above; and (iii) any officer, director, trustee, general partner or employee of any person described in (ii) above. For purposes of this definition, the term "control" shall also mean the control or ownership of ten percent (10%) or more of the beneficial ownership or fifty percent (50%) of the memberships in the entity referred to.

Unrelated Third Party means a person that, with respect to another person, has a direct or indirect ownership of 5% or less in the other person. A person is also considered to be an unrelated third party when a third person, or group of third persons who are affiliated with each other as defined in this Section, hold a direct or indirect ownership interest of 5% or less in the other person.

• SanDisk will pay Intermolecular a CDP Product Fee based on Table 1 below on the sale of CDP Products by SanDisk or SanDisk Affiliates to Unrelated Third Parties, except for any payment by an Unrelated Third Party to Intermolecular under another applicable provision of this Agreement.

FIFTH: No person shall, by virtue of the granting of this option to the Holder, be deemed to be a holder of any shares purchasable under this option or to be entitled to the right or privileges of a holder of such shares unless and until this option has been exercised with respect to such shares and they have been issued pursuant to that exercise of this option. The granting or exercise of this option shall not impose upon the Company any obligation to employ or to continue to employ the Holder or to have or continue the Holder in any other position at the Company, and the right of the Company to terminate the employment of the Holder or to remove the Holder from any other position at the Company shall not be diminished or affected by reason of the fact that this option has been granted to, or exercised by, the Holder. The Company shall, at all times while any portion of this option is outstanding, reserve and keep available, out of shares of its authorized and unissued stock or reacquired shares, a sufficient number of shares of its Common Stock to satisfy the requirements of this option; shall comply with the terms of this option promptly upon exercise of the option rights; and shall pay all fees or expenses n...
