Unreleased Shares means Shares that, in accordance with Sections 3.1, 3.3, and 3.3, have not been released and are subject to repurchase by the Corporation at the Original Cost Per Share pursuant to Section 4.1.

Upon the occurrence of such a forfeiture, the Company shall become the legal and beneficial owner of the Unreleased Shares and all rights and interests therein or relating thereto, and the Company shall have the right to retain and transfer to its own name the number of Unreleased Shares being forfeited by Participant.

Participant, by acceptance of this Award, shall be deemed to appoint, and does so appoint, the Company and each of its authorized representatives as Participant’s attorney(s)-in-fact to effect any transfer of forfeited Unreleased Shares to the Company as may be required pursuant to the Plan or this Agreement, and to execute such representations or other documents or assurances as the Company or such representatives deem necessary or advisable in connection with any such transfer.

More Definitions of Unreleased Shares

Unreleased Shares means any of the Bruk Class A Preferred Shares that have not been released from this Agreement in accordance with Part 2 of this Agreement; and

Unreleased Shares means, at the relevant time of reference thereto, that number of the Purchased Shares (subject to adjustment as provided in Section 7(c) hereof) as shall not have been released from the Repurchase Option on or prior to such time.
