Unresolved Claims means a Claim that at the relevant time is disputed or otherwise unresolved and has not been accepted for purposes of voting on and/or receiving distributions under the Plan and is not barred pursuant to the Claims Process Order.

Unresolved Claims means, as of the applicable Distribution Date, the aggregate amount of all Indemnification Claims made in accordance with Section 1.3 above that are the subject of a Dispute Notice or that are otherwise unsatisfied, including any Indemnification Claims for which an Indemnification Notice has been delivered but for which the twenty (20)-day objection period has not expired as of such date.

Unresolved Claims means any claim or request made pursuant to the Merger Agreement against the Escrow Indemnity Funds in accordance with the Merger Agreement and Section 2.4 below, until such time as such claim or request has been paid in full or otherwise fully settled, compromised or adjusted by Acquiror and the Agent or by a final order of a court of competent jurisdiction resolving such claim, from which no appeal is or can be taken.
