Unresolved Claims definition

Unresolved Claims has the meaning set forth in Section 7.6(c).

  • As soon as all such claims have been resolved, the Escrow Agent shall deliver the remaining portion of the Escrow Fund, if any, not required to satisfy such Unresolved Claims.

More Definitions of Unresolved Claims

Unresolved Claims means a Claim that at the relevant time is disputed or otherwise unresolved and has not been accepted for purposes of voting on and/or receiving distributions under the Plan and is not barred pursuant to the Claims Process Order.

Unresolved Claims means, as of the Escrow Release Date, (i) the aggregate amount of all Claims that are the subject of a Response Notice that have not previously been resolved or satisfied in accordance herewith; or (ii) that were otherwise properly and timely asserted under Section 9.7(e) of the Purchase Agreement but remain otherwise unsatisfied as of the Escrow Release Date, including any Claims for which a Claim Notice has been delivered but for which the 45 day objection period has not expired as of the Escrow Release Date.
Unresolved Claims means any claim or request made pursuant to this Agreement against the Escrow Indemnity Funds, until such time as such claim or request has been paid in full or otherwise fully settled, compromised or adjusted by Purchaser, the Seller Representative and the Escrow Agent or by a final decision of an arbitrator or arbitration panel appointed pursuant to Section 11.10 of this Agreement or a final order of a court of competent jurisdiction resolving such claim, from which no appeal is or can be taken.
