Upstream Agreements definition

Upstream Agreements means the AZ Agreements and the Merck Agreement.
Upstream Agreements means the agreements listed in Exhibit D, as such agreements may be amended from time to time.
Upstream Agreements means the license agreements with MacroGenics’ Third Party licensors listed in Exhibit E or otherwise identified in writing by MacroGenics to Green Cross as such.

More Definitions of Upstream Agreements

Upstream Agreements means the LifeCycle Agreement, the CHRP Shore Agreement and the Tank Agreement.
Upstream Agreements means (a) the Dante License, (b) the GSK License, and (c) the OHSU Agreement.
Upstream Agreements means those agreements which concern the Adverum Technology that is Controlled by Adverum pursuant to an agreement with a Third Party, provided that, if any agreement is entered into after the Effective Date under which Adverum obtains any intellectual property from a Third Party, such agreement shall only be included as an Upstream Agreement, and such intellectual property included as Adverum Technology, to the extent Editas consents to such inclusion and agrees to be bound by the terms and conditions of such Third Party agreement and make payments thereunder that are triggered by Editas’ activities under this Agreement, further provided that Editas shall not be required to consent to such inclusion, in which event such Third Party intellectual property shall be excluded from the definition of Adverum Technology. The Upstream Agreements as of the Effective Date are listed in Exhibit B.
Upstream Agreements means all agreements existing as of the Effective Date between Durect and a Third Party under which Durect obtains a license under any Licensed Technology (“Upstream Licenses”) or otherwise has any payment obligations with respect to the Development or Commercialization of any Product, excluding any Transferred Contracts. A list of Upstream Licenses is appended hereto as Exhibit 1.51.
Upstream Agreements means (a) the Existing Upstream Agreements and (b) any other Contract under which Licensor or its Affiliates have, as of the Effective Date or at any time during the Term, licensed or otherwise obtained rights from any Third Party, excluding (subject to Section 2.2) [ * ].
