US Dollar Equivalent Amount definition

US Dollar Equivalent Amount means, with respect to a specified amount of any Applicable Currency, the amount of US Dollars into which such amount of such Applicable Currency would be converted, based on the applicable Spot Rate of Exchange.

US Dollar Equivalent Amount means, at any time, (a) with respect to any amount in US Dollars, such amount, and (b) with respect to any amount denominated in Euro, Sterling, Canadian Dollars or any other Alternative Currency, the equivalent amount thereof in US Dollars as reasonably determined by the Administrative Agent or the applicable Issuing Bank, as the case may be, at such time pursuant to Section 1.05 on the basis of the Spot Rate (determined, in the case of any Letter of Credit, in respect of the most recent Revaluation Date) with respect to such currency at the time in effect under the provisions of Section 1.05.

US Dollar Equivalent Amount means, on any given date, the amount ----------------------------- of U.S. Dollars which could be purchased with the relevant amount of Canadian Dollars at the then applicable Spot Rate on such date (or if such date is not a Business Day, on the preceding Business Day) for the purchase of U.S. Dollars with Canadian Dollars.

• The Administrative Agent or the applicable Issuing Bank, as applicable, shall notify the Parent Borrower and the Lenders of each determination of the US Dollar Equivalent Amount of each Borrowing denominated in Euro, Sterling or Canadian Dollars and each Letter of Credit or any Letter of Credit Exposure denominated in an Alternative Currency.

• For the purposes of determining the maximum amount of Letter of Credit Liabilities hereunder, it is intended by the parties that all Offshore Letters of Credit shall be the functional equivalent of US Letters of Credit made and repaid in US Dollars and shall be included in such determination based on their US Dollar Equivalent Amount as determined from time to time as set forth herein.

• The Agent shall apply such new Spot Rate of Exchange to determine the new US Dollar Equivalent Amount of such Offshore Letter of Credit as of such Business Day and shall adjust its record of the Letter of Credit Liabilities.

• For the purposes of determining the maximum amount of Letter of Credit Outstandings hereunder, it is intended by the parties that all Offshore Letters of Credit shall be the functional equivalent of US Letters of Credit made and repaid in US Dollars and shall be included in such determination based on their US Dollar Equivalent Amount as determined from time to time as set forth herein.

• Upon receipt from the beneficiary of any Letter of Credit of any notice of a drawing under such Letter of Credit, the applicable Issuing Bank shall notify the Administrative Agent and the Administrative Agent shall promptly notify the applicable Borrower and each other Revolving Lender as to the US Dollar Equivalent Amount to be paid as a result of such demand or drawing and the payment date.

More Definitions of US Dollar Equivalent Amount

US Dollar Equivalent Amount means, at any time, (a) with respect to any amount denominated in US Dollars, such amount, and (b) with respect to any amount denominated in any currency other than US Dollars, the equivalent amount thereof in US Dollars as determined by the Administrative Issuer at such time on the basis of the Spot Rate (determined as of the applicable date of determination) for the purchase of US Dollars with such currency or as otherwise provided for pursuant to Section 6.2(b).

US Dollar Equivalent Amount means at any Borrowing, conversion or continuation date for any Canadian Tranche Loan, the amount of US Dollars into which such Canadian Tranche Loan may be converted at the Bank of Canada noon spot rate of exchange for such date in Toronto, Canada at approximately 12:00 noon, Eastern time on such date. In addition, the “US Dollar Equivalent Amount” of all outstanding Canadian Tranche Loans may be calculated at any time in the sole discretion of the US Administrative Agent and shall equal the amount of US Dollars into which all outstanding Canadian Tranche Loans may be converted at the Bank of Canada noon spot rate of exchange for such date in Toronto, Canada at approximately 12:00 noon, Eastern time on such date.

US Dollar Equivalent Amount means, at any time, (a) as to any amount denominated in U.S. Dollars, the amount thereof at such time, and (b) as to any amount denominated in Canadian dollars, the equivalent amount in U.S. Dollars as determined by the Administrative Agent using the Spot Rate for the purchase of U.S.

US Dollar Equivalent Amount means, with respect to amounts denominated in Canadian Dollars, the equivalent amount in U.S. Dollars after giving effect to a conversion of such amount of Canadian Dollars to U.S. Dollars at the Exchange Rate.
