U.S. Guaranty definition

U.S. Guaranty means the guarantee of the Obligations of each Loan Party hereunder by the U.S. Loan Parties in Article III hereunder or in a supplemental guarantee in accordance with Section 7.01(n) of this Agreement.
U.S. Guaranty means (a) the guaranty made by the Parent Borrower, Holdings and the other Guarantors in favor of the Administrative Agent on behalf of the Secured Parties pursuant to clause (b)(i) and (iii) of the definition ofCollateral and Guarantee Requirement,” substantially in the form of Exhibit F-1 and (b) each other guaranty and guaranty supplement delivered pursuant to Section 6.11(a)(i).
U.S. Guaranty means Article X of this Agreement.

Examples of U.S. Guaranty in a sentence

  • This U.S. Guaranty is a guaranty of payment and not of collection.

  • If at any time any payment of any portion of the Guaranteed Obligations is rescinded or must otherwise be restored or returned upon the insolvency, bankruptcy, or reorganization of any Borrower or otherwise, each U.S. Loan Guarantor’s obligations under this U.S. Guaranty with respect to that payment shall be reinstated at such time as though the payment had not been made and whether or not the Lender Parties are in possession of this U.S.

  • Notwithstanding anything to the contrary contained herein, in furtherance of the foregoing, it is noted that the obligations of each Pledgor constituting a U.S. Guarantor have been limited as (and to the extent) provided in the U.S. Guaranty.

More Definitions of U.S. Guaranty

U.S. Guaranty means the guaranty of the U.S. Obligations made by the U.S. Guarantor in favor of the Administrative Agent on behalf of the Lenders under the Devon Financing LLC Guaranty.
U.S. Guaranty means the guaranty dated as of the Original Closing Date executed by each Domestic Subsidiary of Holdings (other than US Borrowers) in favor of US Agent, on behalf of Agents and Lenders. US Indemnitees has the meaning ascribed to it in Section 9.1(a).

U.S. Guaranty means, collectively, the Guarantees made by the Specified U.S. Borrower and the U.S. Subsidiary Guarantors in favor of the Secured Parties, substantially in the form of Exhibit F-1, together with each other guaranty and guaranty supplement delivered pursuant to Section 6.12.
U.S. Guaranty means that certain Amended and Restated Guaranty, dated as of the date hereof, executed by each U.S. Borrower and Subsidiary Guarantor that is a U.S. Guarantor in favor of Agent and Lenders, as amended, restated, supplemented or otherwise modified from time to time.
