Valuation Firm definition

Valuation Firm has the meaning set forth in Section 1.6(c)(ii).
Valuation Firm means a nationally recognized independent investment banking or valuation firm with expertise in the oil and gas sector.

  • If the Termination Fee determined by the Manager-Selected Valuation Firm and the Termination Fee determined by the Company-Selected Valuation Firm are within ten percent (10%) of each other, then the finally determined Termination Fee shall be the average of such Termination Fees determined by the Manager-Selected Valuation Firm and the Company-Selected Valuation Firm.
