Vendor Financing Facility definition

Vendor Financing Facility means any agreements between the Company or a Restricted Subsidiary of the Company and one or more vendors or lessors of equipment or other capital assets to the Company or any of its Restricted Subsidiaries (or any affiliate of any such vendor or lessor) providing financing for the acquisition by the Company or any such Restricted Subsidiary of equipment or other capital assets from any such vendor or lessor.
Vendor Financing Facility means any arrangement among the Borrower and a Vendor Financing Lender whereby the Vendor Financing Lender makes payment on behalf of the Borrower of amounts payable by the Borrower to its suppliers and vendors.
Vendor Financing Facility means any agreements between Globalstar, Globalstar Capital and/or any Restricted Subsidiary and one or more vendors or lessors of equipment to Globalstar, Globalstar Capital and/or any Restricted Subsidiary (or any affiliate of any such vendor or lessor) providing financing for the acquisition by Globalstar or any such Restricted Subsidiary of equipment from any such vendor or lessor.

  • With respect to any Loan hereunder that is extended to any Borrowing Subsidiary, (i) the Borrower shall execute and deliver to the Lenders a guaranty in form and substance reasonably acceptable to the Lenders, and (ii) the Lenders acknowledge and agree that the Borrower may, or may cause such Borrowing Subsidiary to, pledge to the Collateral Agent under the Vendor Financing Facility the note or notes evidencing such Loan, to the extent required under the Common Agreement.

Vendor Financing Facility has the meaning specified in Section 1 of the Borrower Security Agreement.
