Vendor Fundamental Representations definition

Vendor Fundamental Representations means, collectively, the representations and warranties set forth in Sections 3.4, 3.5, 3.6, 3.16 and 3.33.
Vendor Fundamental Representations means the representations and warranties of Vendor in Section 3.1 (Organization and Good Standing), Section 3.2 (Corporate Authorization), Section 3.3 (Non-Contravention), Section 3.7 (No Brokers or Finders), Section 4.1 (Organization and Good Standing), Section 4.2 (Corporate Authorization), Section 4.3 (Capitalization), Section 4.4 (No Subsidiaries), Sections 4.6(a)(i), 4.6(a)(ii), 4.6(a)(vi)(A) and 4.6(b) (Ownership of Equity Interests), and Section 4.7 (Non-Contravention).
Vendor Fundamental Representations has the meaning given to it in Section 7.5(1)(a).

  • With respect to the Vendor Fundamental Representations (except for the Vendor Fundamental Representation in Section 3.1(3)), as of the Closing Date, such representations and warranties are true and correct in all material respects.
