Vendor Group Companies definition

Vendor Group Companies means the Vendor and any subsidiary of the Vendor, from time to time (except, with effect from Closing, the Company and any Purchaser Group Companies).
Vendor Group Companies or "Vendor's Group" means in relation to each Vendor, the Vendor and any subsidiary of that Vendor from time to time, excluding the Group Companies and "Vendor Group Company" means any one of them.

  • In furtherance of the foregoing, the Purchaser hereby waives, to the fullest extent permitted under applicable law, any and all rights, claims and causes of action it may have against the Vendor and the Vendor Group Companies arising under or based upon any federal, state, foreign or local statute, law, ordinance, rule or regulation (including, without limitation, any such rights, claims or causes of action arising under or based upon common law or otherwise).

  • Subject to Closings in respect of all Transactions, the aggregate Consideration to be received by the Vendor (or the relevant Vendor Group Companies) is EUR 10 billion (subject to Closing adjustments), of which 5% shall be attributable to the Group’s telecommunications partner in Denmark and Sweden.

  • Compensation received by the employee from the court system for serving on the jury shall be paid over to the Township when the employee is receiving full pay.

  • The Companies have not borrowed any monies from the Vendor, any Vendor Group Companies or any third party.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Target Group means the Target and its Subsidiaries.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Buyer Group Member means Buyer and its Affiliates and their respective successors and assigns.

  • Buyer’s Group means the Buyer, any subsidiary of the Buyer, any holding company of the Buyer and any subsidiary of any holding company of the Buyer, from time to time.

  • Company Entities means the Company and the Company Subsidiaries.

  • Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • PRC Entities means the PRC Subsidiaries and the Consolidated Affiliated Entities collectively.

  • Company Group Member means each member of the Company Group.

  • PRC Companies means, collectively, all entities listed in Appendix A hereof, and each, a “PRC Company”.

  • the Business means the usual work and activities carried on by the Insured pertaining to his business as specified in the Schedule and no others.
