Vested Units definition

Vested Units means those Units listed as vested Units in the books and records of the Partnership, as the same may be amended from time to time in accordance with this Agreement.

Vested Units means the Employee Units that have vested as of such date pursuant to this Section 5 and the term “Unvested Units” means the Employee Units that are not Vested Units as of such date.

Vested Units means any Purchased Units and any Vested Incentive ------------ Units.

Examples of Vested Units in a sentence

• For purposes of determining the number of Vested Units following an Ownership Change Event, dividend, distribution or adjustment, credited Service shall include all Service with any corporation which is a Participating Company at the time the Service is rendered, whether or not such corporation is a Participating Company both before and after any such event.

• Units acquired pursuant to this Agreement shall become Vested Units as provided in the Grant Notice.

• For purposes of determining the number of Vested Units following an Ownership Change Event, credited Service shall include all Service with any corporation which is a Participating Company at the time the Service is rendered, whether or not such corporation is a Participating Company both before and after the Ownership Change Event.

• Dividend Equivalent Units shall become Vested Units at the same time as the Restricted Stock Units originally subject to the Award with respect to which they have been credited.

• Except to the extent otherwise provided by the Superseding Agreement, if any, in the event that the Participant’s Service terminates for any reason or no reason, with or without cause, the Participant shall forfeit and the Company shall automatically reacquire all Units which are not, as of the time of such termination, Vested Units (“Unvested Units”), and the Participant shall not be entitled to any payment therefor (the “Company Reacquisition Right”).

More Definitions of Vested Units

Vested Units means any Executive Units which have become vested on a monthly basis in accordance with the following schedule, if as of each such date Executive is employed by the Company or any of its subsidiaries: Cumulative Percentage of Date Executive Units Vested December ___, 2003 20% December ___, 2004 40% December ___, 2005 60% December ___, 2006 80% December ___, 2007 100% provided, that upon the occurrence of a Sale of the Company, so long as Executive is employed by the Company or one of its subsidiaries as of the date on which such Sale of the Company is consummated, all Executive Units which have not yet become vested shall immediately become vested.

Vested Units has the meaning assigned to such term in the LLC Agreement.

Vested Units means, with respect to an Executive’s Class B Units and Class C Units, the number of such Units that are vested and nonforfeitable, as determined in accordance with Schedule I attached hereto.

Vested Units means, as of the applicable date of determination, the Incentive Units that have vested in accordance with the provisions of this Agreement, the Plan and the Partnership Agreement.

Vested Units means, subject to Section 2.06, as of the date of any determination, with respect to the Equity Units held by a Management Member, the number of such Equity Units equal to product of (i) the total number of such Equity Units times (ii) the Applicable Percentage.

Vested Units means the number of such Units that are vested and non-forfeitable, as determined in accordance with Exhibit A hereto, and provide certain rights under the terms of this Agreement, the LLC Agreement and the Securityholders Agreement.

Vested Units. Provided that the Participant’s Service (as defined in Section 5.1 of the Award Agreement) has not terminated prior to the Vesting Date (except as otherwise provided by the Award Agreement), the Earned Units, if any, shall become Vested Units on the Vesting Date.
