Vesting Criteria means criteria as may be stipulated by the Committee for vesting of Options.

The Company shall have no obligation to allot and issue, and the Participant will have no right or title to, any Shares, and no Shares will be allotted and issued to the Participant, until satisfaction of the Vesting Criteria.
