VIE Documents means the documents described or summarized in the Company SEC Documents and/or filed as an exhibit to the Company SEC Documents that entitle the assets and financial results of the Company’s VIEs to be consolidated with the assets and financial results of the Company, and a “VIE Document” refers to each of them.

If any of the VIE Documents becomes illegal, void or unenforceable under PRC Laws after the date hereof, the Parties (other than the Investors) shall devise a feasible alternative legal structure reasonably satisfactory to the Investors which gives effect to the intentions of the parties in each VIE Document and the economic arrangement thereunder as closely as possible.
The VIE Documents have been duly authorized, executed and delivered and constitute the valid and binding obligations of the parties thereto.

More Definitions of VIE Documents

VIE Documents means the following contracts: (i) the Exclusive Business Cooperation Agreement dated November 14, 2014, entered into by and between the WFOE 1 and the Domestic Company, (ii) the Exclusive Option Agreements, (iii) the Power of Attorney dated February 20, 2017, executed by each of Lhasa Heye Investment Management Co., Ltd., the Principal, Mr. ▇▇▇ ▇▇▇▇, Shanghai Jinglinxiyu Investment Center L.P., and Jiangsu Jingdong Bangneng Investment Management Co., Ltd, and (iv) the Share Pledge Agreements, each as amended from time to time.

VIE Documents means each of the following agreements and documents:

VIE Documents means the documents listed in Part B of Schedule 11 (VIEs), and any arrangement, instrument or agreement constituting all of the contractual arrangements enabling any Group Member to exercise effective control over, and consolidate the financial statements of, a VIE.

VIE Documents mean the documents and agreements by and among Fuer, WFOE and the Shareholders listed on Schedule 1.60.

VIE Documents means the following documents: (i) exclusive option agreement by and between the WFOE, Haoyan and SFJV dated as of July 19, 2010, (ii) Shareholder’s Right Proxy and Operation Management Service Agreement by and between the WFOE, Haoyan and SFJV dated as of July 19, 2010, and (iii) share pledge agreement by and between the WFOE, Haoyan and SFJV dated as of July 19, 2010.

VIE Documents means the control documents entered into by and among the PRC Subsidiary and each of C&I, BBIT, and BEAM and their respective shareholders, including without limitation the Exclusive Business Cooperation Agreements, Exclusive Option Agreements, and Equity Interest Pledge Agreements.

VIE Documents means each agreement or contract entered into between the Company or any of its Subsidiaries, on the one hand, and the relevant VIE Entity or the shareholders of the relevant VIE Entity, on the other hand, which enables the Company or the relevant Subsidiary to control the relevant VIE Entity, including the agreements or contracts set out in folder 2.5 of the Data Room.
