VIE Documents definition

VIE Documents means the documents described or summarized in the Company SEC Documents and/or filed as an exhibit to the Company SEC Documents that entitle the assets and financial results of the Company’s VIEs to be consolidated with the assets and financial results of the Company, and a “VIE Document” refers to each of them.

VIE Documents means the following contracts: (i) the Exclusive Business Cooperation Agreement dated November 14, 2014, entered into by and between the WFOE 1 and the Domestic Company, (ii) the Exclusive Option Agreements, (iii) the Power of Attorney dated February 20, 2017, executed by each of Lhasa Heye Investment Management Co., Ltd., the Principal, Mr. Xxx Xxxx, Shanghai Jinglinxiyu Investment Center L.P., and Jiangsu Jingdong Bangneng Investment Management Co., Ltd, and (iv) the Share Pledge Agreements, each as amended from time to time.

VIE Documents means the documents referenced in Schedule 2 hereto.Based on our review of the Documents and our understanding of the PRC Laws, subject to the foregoing Assumptions, qualifications set forth herein, and except as disclosed in the Registration Statement, we are of the opinion that:

Examples of VIE Documents in a sentence

• The Principal, the Principal HoldCo, the Co-Founder Parties and the Group Companies shall ensure that each party to the relevant VIE Documents (other than any nominees appointed by the Investors) fully perform its/his/her respective obligations thereunder and carry out the terms and the intent of the VIE Documents.

• The VIE Documents have been duly authorized, executed and delivered and constitute the valid and binding obligations of the parties thereto.

• If any of the VIE Documents becomes illegal, void or unenforceable under PRC Laws after the date hereof, the Parties (other than the Investors) shall devise a feasible alternative legal structure reasonably satisfactory to the Investors which gives effect to the intentions of the parties in each VIE Document and the economic arrangement thereunder as closely as possible.

• Except for the VIE Documents, none of the Company’s or PRC Companies’ directors, stockholders, officers or employees or any of their respective affiliates owns any material asset that is used by the Company or a PRC Company in the conduct of its business or in any business that competes with the Company’s business.

• Each of the parties to the Transaction Documents and VIE Documents (including the updated VIE Documents under Step 9 of Restructuring Agreement) other than the Investors, shall have executed and delivered such Transaction Documents and VIE Documents to the Investors.

More Definitions of VIE Documents

VIE Documents means each of the following agreements and documents:

VIE Documents means the documents pursuant to which the VIE Arrangements are documented.

VIE Documents means the documents described or summarized in the Company SEC Documents and/or filed as an exhibit to the Company SEC Documents that entitle the assets and financial results of the Company’s VIEs to be consolidated with the assets and financial results of the Company, and a “VIE Document” refers to each of them. VIE Documents means the documents listed in Part B of Schedule 11 (VIEs), and any arrangement, instrument or agreement constituting all of the contractual arrangements enabling any Group Member to exercise effective control over, and consolidate the financial statements of, a VIE.

VIE Documents means the following documents: (i) exclusive option agreement by and between the WFOE, Haoyan and SFJV dated as of July 19, 2010, (ii) Shareholder’s Right Proxy and Operation Management Service Agreement by and between the WFOE, Haoyan and SFJV dated as of July 19, 2010, and (iii) share pledge agreement by and between the WFOE, Haoyan and SFJV dated as of July 19, 2010.

VIE Documents shall have the same meanings set forth in the Restructuring Agreement.

VIE Documents means the following contracts: (i) the Exclusive Business Cooperation Agreement (独家业务合作协议) dated November 14, 2014, entered into by and between the WFOE and the Domestic Company, (ii) the Exclusive Option Agreement (独家购买权协议) dated September 23, 2015, entered into by and among the WFOE, the Domestic Company and Lhasa Heye Investment Management Co., Ltd., (iii) the Exclusive Option Agreement (独家购买权协议) dated September 23, 2015, entered into by and among the WFOE, the Domestic Company and the Principal, (iv) the Exclusive Option Agreement (独家购买权协议) dated September 23, 2015, entered into by and among the WFOE, the Domestic Company and Mr. Xxx Xxxx, (v) the Exclusive Option Agreement (独家购买权协议) dated September 23, 2015, entered into by and among the WFOE, the Domestic Company and Shanghai Jinglinxiyu Investment Center L.P., (vi) the Power of Attorney (授权委托书) dated September 23, 2015, executed by Lhasa Heye Investment Management Co., Ltd., (vii) the Power of Attorney (授权委托书) dated September 23, 2015, executed by the Principal, (viii) the Power of Attorney (授权委托书) dated September 23, 2015, executed by Mr. Xxx Xxxx, (ix) the Power of Attorney (授权委托书) dated September 23, 2015, executed by Shanghai Jinglinxiyu Investment Center L.P., and (x) the Share Pledge Agreements, each as amended from time to time.
