Voting Agreement definition

Voting Agreement has the meaning set forth in the Recitals.

Voting Agreement means the agreement among the Company, the Purchasers and certain other stockholders of the Company, dated as of the date of the Initial Closing, in the form of Exhibit H attached to this Agreement.

• Except as set forth in the SEC Reports and the Voting Agreement, there are no stockholders agreements, voting agreements or other similar agreements with respect to the Company’s capital stock to which the Company is a party or, to the knowledge of the Company, between or among any of the Company’s stockholders.

More Definitions of Voting Agreement

Voting Agreement means the written agreement, in the form of Exhibit G attached hereto, of all of the officers, directors and stockholders holding more than 10% of the issued and outstanding shares of Common Stock on the date hereof to vote all Common Stock over which such Persons have voting control as of the record date for the meeting of stockholders of the Company, amounting to, in the aggregate, at least 50% of the issued and outstanding Common Stock.

Voting Agreement shall have the meaning set forth in Section 6.9.

Voting Agreement means that certain Amended and Restated Voting Agreement dated of even date hereof by and among the Company and the Investors.
