Direct Voting Shareholder means, in relation to a meeting of Shareholders (including a meeting of a class of Shareholders), a Shareholder who has the right to cast a Direct Vote on at least one item of business to be considered at the meeting.
Such Voting Shareholder is the beneficial and record owner of, and has good and valid title to, the Voting Shares, free and clear of Liens other than as created by this Agreement.
The Voting Shares are not subject to any voting trust agreement or other Contract to which such Voting Shareholder is a party restricting or otherwise relating to the voting or transfer of the Voting Shares, other than this Agreement, which would affect in any way the ability of such Voting Shareholder to perform its obligations as set out in this Agreement.
