Waiver Effective Date definition

Waiver Effective Date means May 7, 2020.

Waiver Effective Date means the date on which all conditions precedent set forth in Section 11 shall have been met or waived by the Agent, in either case as determined by the Agent in its sole discretion.

Waiver Effective Date means the eighth day following the date on which the Participant executes the Waiver and Release.

• No Default or Event of Default shall have occurred and be continuing on the Waiver Effective Date or would result from this Waiver becoming effective in accordance with its terms.

• On and as of the Waiver Effective Date and after giving effect to this Waiver and the transactions contemplated hereby, no Default or Event of Default shall have occurred and be continuing.

• On and after the Waiver Effective Date, each reference in the Credit Agreement to “this Agreement”, “hereunder”, “hereof” or words of like import referring to the Credit Agreement shall mean and be a reference to the Credit Agreement as waived and consented to hereby.

• Effective on the Waiver Effective Date, the LNG Parties and their designees (including, without limitation, Greenfield Commercial, L.L.C.) are immediately authorized to file or record termination statements for each Uniform Commercial Code financing statement of public record naming any LNG Party as debtor and the Creditor Parties or any of them as secured party, including, without limitation, the Uniform Commercial Code financing statements described on Exhibit A to this Release.

• From and after the Amendment and Waiver Effective Date, all references to the Credit Agreement and each of the other Loan Documents shall be deemed to be references to the Credit Agreement as amended and waived by this Amendment and Waiver.

More Definitions of Waiver Effective Date

Waiver Effective Date has the meaning specified in Section 4 hereof.

Waiver Effective Date has the meaning assigned to such term in Section 11 of the Second Amendment.

Waiver Effective Date means the date on which all the conditions precedent set forth in Section 5 of this Waiver have been satisfied.
