Warrant Agent definition

Warrant Agent means the Transfer Agent and any successor warrant agent of the Company.

Warrant Agent means Computershare Trust Company of Canada, in its capacity as warrant agent of the Warrants, or its successors from time to time;

Warrant Agent means initially, U.S. Bank Trust National Association.

• The Warrant Agent may consult with counsel satisfactory to it, which may include counsel for the Company, and the written advice of such counsel shall be full and complete authorization and protection in respect of any action taken, suffered or omitted by it hereunder in good faith and in accordance with the advice of such counsel.

• The Warrant Agent shall not be under any obligation to take any action hereunder which may tend to involve it in any expense or liability, the payment of which within a reasonable time is not, in its reasonable opinion, assured to it.

• In acting under this Agreement and in connection with the Warrant Certificates, the Warrant Agent is acting solely as agent of the Company and does not assume any obligations or relationship of agency or trust for or with any of the holders of Warrant Certificates or beneficial owners of Warrants.
