Website Assets definition

Website Assets means the assets owned or controlled by Seller which are listed on Schedule 2.1(h) and which are used in connection with or pertaining to any websites used or operated by Seller or its Affiliates in connection with the Yu-Gi-Oh! Business.
Website Assets means the assets listed on Exhibit 9 as they exist immediately prior to Closing.
Website Assets means the content of Seller's website with the domain name "xxx.xxxxxxxxxxxxxx.xxx" as more fully described on Schedule 2.1(a) attached hereto.

  • Subject to the terms and conditions of this Agreement, at the Closing i5ive, in exchange for MARKETEAM's payment of the Purchase Price, shall sell, assign, transfer, convey, and deliver to MARKETEAM all of i5ive's right, title, and interest in and to the Website Assets, free and clear of any and all Liens.

More Definitions of Website Assets

Website Assets has the meaning ascribed to such term as defined in the first whereas clause.
Website Assets means all of Tritium's rights in and to the websites, domain names, trademarks, service marks and trade names owned, licensed or used by Tritium in connection with the Business, including but not limited to, "xxx.xxxxxxx.xxx," and including all applications, registrations, licenses, agreements (including but not limited to all web hosting and website maintenance agreements), and other documents related thereto.

  • Environmental Site Assessment means a Phase I environmental report meeting the requirements of the American Society for Testing and Materials, and, if in accordance with customary industry standards a reasonable lender would require it, a Phase II environmental report, each prepared by a licensed third party professional experienced in environmental matters.
