The Trust was created pursuant to a Trust Agreement, dated as of September 18, 2024 (as amended and restated by the Amended and Restated Trust Agreement dated as of October 23, 2025, the “Trust Agreement”), between Toyota Auto Finance Receivables LLC, as depositor (the “Depositor”), and Wilmington Trust, National Association, a national banking association, as Owner Trustee (the “Owner Trustee”), a summary of certain of the pertinent provisions of which is set forth below.
Initially, Wilmington Trust, National Association, the Trustee under the Indenture, will act as Paying Agent and the Registrar.
In no event shall Wilmington Trust, National Association, in its individual capacity, Citibank, N.A., in its individual capacity, or the Certificateholder have any liability for the representations, warranties, covenants, agreements or other obligations of the Issuer hereunder or in any of the certificates, notices or agreements delivered pursuant hereto, as to all of which recourse shall be had solely to the assets of the Issuer.
The initial Certificate Registrar appointed under the Trust Agreement is Wilmington Trust, National Association.
Notwithstanding anything contained herein to the contrary, this Agreement has been countersigned by Wilmington Trust, National Association, not in its individual capacity, but solely in its capacity as Owner Trustee on behalf of the Issuer, and by Citibank, N.A., not in its individual capacity, but solely in its capacity as Indenture Trustee under the Indenture.
