Examples of Wind-Down Period in a sentence
Following the Closing and until the end of the Wind-Down Period, and subject to the terms of the Transition Services Agreement, the Sellers and the Buyers shall reasonably cooperate in good faith to assist in the orderly transfer of the Transferred Assets (including all Consents, Permits and Regulatory Approvals), including in connection with any matters for which the Sellers’ institutional knowledge may be reasonably required in order to consummate the transactions contemplated by this Agreement.
In addition, CUSTOMER shall remain obligated to pay Vendor any amounts due hereunder for Services performed and expenses incurred under any Statement of Work up to the date of termination of such Statement of Work, including any Services performed and expenses incurred during any applicable Wind-Down Period.
For any Statement of Work based on a fixed price the Vendor shall be entitled to receive fees reasonably apportioned to the work actually performed through the effective date of termination and applicable fees during the Wind-Down Period.
CUSTOMER shall pay Vendor for all Services performed through the effective date of termination and the applicable fees during the Wind-Down Period as aforesaid.
