Workforce Member definition

Workforce Member means an employee, volunteer, trainee, or other person whose conduct, in the performance of work for Participant, is under the direct control of Participant, whether or not they are paid by the Participant.

Workforce Member means employees, employed Licensed Independent Practitioners (LIPs) (e.g., employed/managed physicians), employed Advanced Practice Professionals (APPs), residents/fellows, students (e.g., nursing, medical, and interns), faculty/instructors, contractors (e.g., HealthTrust Workforce Solutions (HWS), travelers, network/per diem staff, or dependent healthcare professionals and/or contracted through another temporary staffing agency), and volunteers. Additionally, the Company must protect its interest in, and the confidentiality of, any information it maintains or has access to, including, but not limited to, financial information, marketing information, Human Resource Information, (as defined below), payroll, business plans, projections, sales figures, pricing information, budgets, credit card or other financial account numbers, customer and supplier identities and characteristics, sponsored research, processes, schematics, formulas, trade secrets, innovations, discoveries, data, dictionaries, models, organizational structure and operations information, strategies, forecasts, analyses, credentialing information, Social Security numbers, passwords, PINs, and encryption keys (collectively, with patients’ information, “Confidential Information”). The Company must also protect Company Property (such as inventions, software, trade secrets, and Developments (as defined below)). During the course of my Engagement with the Company, I understand that I may access, use, or create Confidential Information. I agree that I will access and use Confidential Information only when it is necessary to perform my job-related duties and in accordance with the Company’s policies and procedures, including, without limitation, its Privacy and Security Policies (available at xxxx://xxxxxxxxxxxxx.xxx/ethics-compliance/ and the Information Protection Page of the Company’s intranet). I further acknowledge that I must comply with such policies, procedures, and this Confidentiality and Security Agreement (the “Agreement”) at all times as a condition of my Engagement and in order to obtain authorization for access to Confidential Information and/or Company systems. I acknowledge that the Company is relying on such compliance and the representations, terms and conditions stated herein.

Workforce Member. For purposes of this agreement means: employees, volunteers, trainees, physicians, and other persons whose conduct or performance at the Facility is under the direct control of the Facility, whether or not they are paid by the Facility.

• Intermountain may terminate your access to Confidential Information if your status as a Workforce Member, Provider, Vendor, or Agent changes, if Intermountain determines that to be in the best interests of Intermountain’s mission, or if you violate any provision of this Agreement.

• Your obligations under this Agreement continue after termination of your status as a Workforce Member, Provider, Vendor or Agent.

More Definitions of Workforce Member

Workforce Member means employees, volunteers, trainees, and other persons whose conduct, in the performance of work for a covered entity, is under the direct control of such entity, whether or not they are paid by the covered entity.

Workforce Member means, as to Contexture or a specific Participant or System Provider, an employee, contractor, subcontractor, agent, or other member of the workforce of that entity.

Workforce Member means employees, volunteers, and other persons whose conduct, in the performance of work for Kaleida Health, is under the direct control of Kaleida Health, whether or not they are paid by Kaleida Health.

Workforce Member an individual performing work on behalf of VUMC and under the direct control of VUMC, whether or not the member is employed by VUMC. Examples include: staff; faculty; temporary agency workers; students; contractors; and volunteers.

Workforce Member is defined in Section 2.5.1(a).

Workforce Member means any employee, independent contractor, agent, trainee, or other person who performs work for or on behalf of Broward Health. This includes full-time, part- time, and pool employees; associates; directors; officers; managers; supervisors; members of the Board of Commissioners of North Broward Hospital District and members of standing committees; medical staff employed by or otherwise affiliated with Broward Health; and others receiving training at any Broward Health facility; and others who provide goods or services to Broward Health.

Workforce Member means employees (caregivers), volunteers, trainees, medical staff, and other persons under the direct control of Providence whether or not they are paid by Providence. This may also include independent contractors, depending upon the arrangement.
