Working Capital Units definition

Working Capital Units shall have the meaning given in the Recitals hereto.
Working Capital Units means any Units held by Investors, officers or directors of the Company or their affiliates which may be issued in payment of working capital loans made to the Company.
Working Capital Units means private units issuable upon conversion of the maximum aggregated amount of $3,000,000 of working capital and Extension Loans, if any, at $10.00 per unit, upon the consummation of the Business Combination.

  • The conversion shall be deemed to have been made immediately prior to the close of business on the date of the surrender of this Note and the person or persons entitled to receive the Working Capital Units upon such conversion shall be treated for all purposes as the record holder or holders of such Working Capital Units (and the underlying Ordinary Shares and Working Capital Warrants) as of such date.

  • Before this Note, or any portion thereof, may be converted pursuant to this Section 6(a), Payee shall surrender this Note, duly endorsed, at the office of Maker and shall state therein the amount of the unpaid principal of this Note to be converted and the name or names in which the certificates for Working Capital Units are to be issued (or the book-entries to be made to reflect ownership of such Working Capital Units with Maker’s transfer agent).

  • All accrued and unpaid principal of this Note that is not then converted into Working Capital Units shall continue to remain outstanding and be subject to the conditions of this Note.

  • The Company will reserve and keep available that maximum number of its authorized but unissued securities which are issuable upon the exercise of any of the Public Warrants, the Private Placement Warrants and any Working Capital Units outstanding from time to time and the conversion of the Founder Shares.

  • Each of the warrants underlying the Working Capital Units shall be identical to those underlying the Private Placement Units.


More Definitions of Working Capital Units

Working Capital Units means any units issuable pursuant to the Digital World Convertible Notes. Each unit consists of one share of Digital World Class A common stock and one-half Warrant. Each unit issuable pursuant to the Digital World Convertible Notes, subject to the terms and conditions of each applicable note, shall not have a price lower than $8.00 per unit.
Working Capital Units means the Private Placement-equivalent Units that may be issued in connection with the conversion of any working capital loans; (vi) “Working Capital Shares” shall mean the Class A ordinary shares underlying the Working Capital Units, (vii) “Working Capital Warrants” shall mean the warrants underlying the Working Capital Units, (x) “Public Shareholders” shall mean the holders of securities issued in the Public Offering; (xi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Shares shall be deposited; and (xii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b).
Working Capital Units means the units that may be issued in connection with the conversion of any Working Capital Loans; (viii) “Working Capital Warrants” shall mean the warrants comprising part of the Working Capital Units; (ix) “Public Shareholders” shall mean the holders of securities issued in the Public Offering; (x) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Units shall be deposited; and (xi) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b).
Working Capital Units means the units that may be issued upon conversion of up to $2,500,000 of working capital loans extended to the Company by the Sponsor or Post or its Subsidiaries, at the option of such lender, at a price of $10.00 per Working Capital Unit, each Working Capital Unit consisting of one share of Company Series A Common Stock and one-third of one warrant, where each whole warrant is exercisable to purchase one share of Company Series A Common Stock at an exercise price of $11.50 per share.

Each unit consists of one share of Digital World Class A common stock and one-half Warrant. Working Capital Units means private units issuable upon conversion of working capital loans up to $2,500,000, at $10.00 per unit, upon the consummation of a Business Combination; and (xi) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Exchange Act, and the rules and regulations of the SEC promulgated thereunder with any respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b).
Working Capital Units means the Private Placement-equivalent Units, each unit consisting of one Ordinary Share (a “Working Capital Share”) and one half of one warrant entitling the holder thereof to purchase one Class A Ordinary Share at a price of $11.50 per share (a “Working Capital Warrant”).
