Xxxx Family definition
Xxxx Family means Xxxxxx X. Xxxx, III, his spouse, his mother, his siblings, his lineal descendants, and any trusts established for the benefit of any of them.
Xxxx Family means Xxxxxxx X. Xxxx, any direct descendant or spouse of such person, or any direct descendant of such spouse, and any trust or other estate in which each person who has a beneficial interest, directly or indirectly through one or more intermediaries, in Capital Stock of the Company is one of the foregoing persons.
Xxxx Family means any member or members of Xx. Xxxxxxx Xxxx's immediate family, including (i) any spouse or any linear descendant of a parent or grandparent of either Xx. Xxxx or his spouse (collectively, with Xx. Xxxx, the "Members"); (ii) any trust, partnership or limited liability company created principally for the benefit of any such Member or Members; (iii) any trust in respect of which any Member serves as a trustee, provided that the trust instruments governing such trust shall provide that such Member, as trustee, shall retain sole and exclusive control over the voting and disposition of the equity interests in such trust at least until the termination of this Agreement; and (iv) any executor, administrator or personal representative of the estate of a Member.

Students who are assigned a unit in Xxxxxxxxx Xxxx under a Xxxxxxxxx Xxxx Family Unit Contract must pay a $450 housing deposit prior to check-in.
Further, Lessee shall not permit Persons other than Xxxx Family Members to acquire any interest in the Lessee, directly or indirectly, in a manner that would result in a Change in Control of Lessee.
If Xxxxx or Xxxxx do not exercise their right of preference, the other will automatically be entitled to exercise the preference on no less than the whole of the contribution of the Xxxx Family, expressing such intent in the First Response, as defined in Clause 7.3.3 below.
More Definitions of Xxxx Family
Xxxx Family means, collectively, Xxxxxx X. Xxxx, III, Xxxxx X. Xxxx, Xxxxxx Xxxx Xxxxxx, Xxxxxx X. Xxxx and their respective spouses and direct descendants.
Xxxx Family means the Investor and/or a member of the Investor’s family as follows: (i) Xxxxxxxxx Xxxxxx Xxxx, his wife Xxxxx Xxxx and/or all descendants of Xxxxxxxxx Xxxxxx Xxxx, including without limitation the Investor (illegitimate descendants only if they have obtained the status of a legitimate descendant by legitimation or adoption by Xxxxxxxxx Xxxxxx Xxxx or one of his legitimate descendants, or if they are children of a female legitimate descendant of Xxxxxxxxx Xxxxxx Xxxx); (ii) any trust or any family foundation which has exclusively been established in favor of one or several of the individuals named under (i) above, and (iii) any partnership, firm, corporation, association, trust, unincorporated organization, joint venture, limited liability company or other legal entity, in which the individuals or entities named under (i) or (ii) hold (either directly or indirectly) more than 50% of the voting rights or more than 50% of the equity capital of any such partnership, firm, corporation, association, trust, unincorporated organization, joint venture, limited liability company or other legal entity.
Xxxx Family means the lineal descendants or spouses of Xxxxxx X. Xxxx, Xx. and Xxxxxxx Xxxxxxxx, any present or former spouse of such persons, any lineal descendants of such spouses or former spouses, any estate of any of the foregoing persons, any trust in which the foregoing persons collectively have all of the beneficial interests as income beneficiaries or remaindermen, and any corporation, partnership, or other entity in which any one or more of such persons or entities own all of the interests.
Xxxx Family means the family and descendants of Xxxxxxxx X. Xxxx and Xxxxxx X. Xxxx.
Xxxx Family means Xxxxx Xxxx, all descendants of the late Xxxxxxxxx Xxxxxx Xxxx and all individuals related by blood, marriage or adoption (first, second, third or fourth related degree) to Xxxxx Xxxx or the late Xxxxxxxxx Xxxxxx Xxxx, any trust or any family foundation which has exclusively been established in favor of one or several of such individuals, and any partnership, firm, corporation, association, trust, unincorporated organization, joint venture, limited liability company or other legal entity, in which one or several of such individuals hold (either directly or indirectly) more than 50.0% of the voting rights or more than 50.0% of the equity capital of any such partnership, firm, corporation, association, trust, unincorporated organization, joint venture, limited liability company or other legal entity. For the avoidance of doubt, each of the Initial Holders are members of the Xxxx Family.
Xxxx Family means X. Xxxxxxx Xxxx XX and his spouse, siblings, and lineal descendants and the spouses of such siblings and lineal descendants and the heirs, beneficiaries, devisees or legatees that are or were members of the same family by blood, marriage or adoption as any of the same or any of the foregoing (and for purposes of this definition, any shares of Equity Interests which a Person no longer owns as a result of death shall be deemed still to be owned by such Person unless not held by such Person’s estate, trusts established under such Person’s will, or the heirs, beneficiaries, devisees or legatees of such Person that are or were members of the same family by blood, marriage or adoption as such Person). Entities owned or controlled by members of the Xxxx Family shall be deemed owned by such members for purposes of this Agreement.
Xxxx Family means means (i) Xxxxxxxxx Xxxxxx Xxxx, his wife Xxxxx Xxxx and/or all descendants of Xxxxxxxxx Xxxxxx Xxxx, including, without limitation, Xx. Xxxxxxxxx Xxxx (illegitimate descendants only if they have obtained the status of a legitimate descendant by legitimation or adoption by Xxxxxxxxx Xxxxxx Xxxx or one of his legitimate descendants, or if they are children of a female legitimate descendant of Xxxxxxxxx Xxxxxx Xxxx); (ii) any trust or any family foundation which has exclusively been established in favor of one or several of the individuals named under (i) above; and (iii) any partnership, firm, corporation, association, trust, unincorporated organization, joint venture, limited liability company or other legal entity, in which the individuals or entities named under (i) and (ii) hold (either directly or indirectly) more than fifty percent (50%) of the voting rights or more than fifty percent (50%) of the equity capital of any such partnership, firm, corporation, association, trust, unincorporated organization, joint venture, limited liability company or other legal entity.
