Xxxx Investors definition

Xxxx Investors has the meaning set forth in the preamble.

Xxxx Investors means each Person (and such Person’s Affiliates) who acquired Ordinary Shares pursuant to the Xxxx Framework Agreements to the extent of such acquired Ordinary Shares and any Ordinary Shares issued in respect of such Ordinary Shares.

Xxxx Investors means Marital Trust D under the Xxxxxx X. Xxxx Living Trust U/A/D 3/31/1999, as amended, the SLR Non-Exempt Trust U/A/D 4/21/2018 and the Xxxx Foundation.

• If the Xxxx Investors do not exercise their rights under this Section 6, any Transfer will be subject to Section 5 (Tag Along Rights).

Xxxx, Xxxxxxx Capital Partners, L.P., Xxxxxxx Capital Partners II, L.P., Xxxxxxx Capital Partners III, LP, Xxxxxxx Capital Fund (Cayman), Ltd., BK Capital Partners IV, L.P., Carpenters Pension Trust for Southern California, Common Fund Multi-Strategy Equity Fund, United Brotherhood of Carpenters and any other affiliates of the above-named Xxxx Investors that agree to be bound by the provisions of that certain Standstill Agreement among the above-named Xxxx Investors and the Company of even date herewith.

Xxxx Investors means the holders from time to time of Investor Shares originally issued to or issued with respect to Shares originally issued to or held by Xxxx Capital Integral Investors, LLC, Xxxx Capital VII Coinvest Fund, LLC and BCIP TCV, LLC.

Xxxx Investors means Xxxx Partnership Fund, LP; MGEN II – Xxxx Fund, LP; Xxxxx - Xxxx Fund, LP; Xxxxx - Xxxx Fund, LP, Xxxxxxxxx - Xxxx Fund, LP; The Vanderbilt University “VUA Xxxx SMA”; Xxxx ICFG Fund, LP and National Consumer Title Insurance Company. “Xxxx Representative” has the meaning specified in Section 2.2(a). “Harmful Code” means any mechanism, device or computer code designed or intended to have, or intended to be capable of performing, any of the following functions: (a) disrupting, disabling, harming, interfering or otherwise impeding in any manner the operation of, or providing unauthorized access to, computer hardware, a computer system or network or other device on which such mechanism, device or computer code is stored or installed; or (b) collecting, damaging or destroying any information, data or file, in each case, without the user’s consent. “Hazardous Material” means any (a) pollutant, contaminant or chemical, (b) industrial, solid, liquid or gaseous toxic or hazardous substance, material or waste, (c) petroleum or any fraction or product thereof, (d) asbestos or asbestos-containing material, (e) polychlorinated biphenyl, (f) chlorofluorocarbons, and (g) other substance, material or waste, in each case, which are regulated under any Environmental Law. “HPCM” means Xxxx Partnership Capital Management, LLC, a North Carolina limited liability company. “Indemnification Claim” has the meaning specified in Section 10.3(a). “Indemnified Party” has the meaning specified in Section 10.3(a). “Indemnitor” means the Party required to provide indemnification pursuant to Section 10.2, such Party being the Xxxx Investors in relation to the FedNat Indemnified Parties and FNHC in relation to the Investor Indemnified Parties. “Insurance Contract” means any contract, agreement or policy of insurance or reinsurance, binder, slip, endorsement or certificate, and forms with respect thereto, including any variable, fixed, indexed or payout annuity, guaranteed investment contract and any other Insurance Policy or insurance or annuity contract or certificate issued, ceded or assumed by the Issuer or FNIC. “Insurance Law” means all Laws applicable to the business of insurance or the regulation of insurance companies, whether Federal, national, provincial, state, local, foreign or multinational, and all applicable orders, directives of, and market conduct recommendations resulting from market conduct examinations of, Insurance Regulators. “Insurance Policies” has the meaning ...
